HUXBUCKS REWARDS PROGRAM
TERMS AND CONDITIONS
(these “TERMS AND CONDITIONS”)
NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. Void in New York, Florida and where prohibited. Subject to all federal, state, and local laws and regulations.
PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE PARTICIPATING IN THE HUXBUCKS REWARDS PROGRAM. BY REDEEMING A HUXBUCKS CODE OR OTHERWISE PARTICIPATING IN THE PROGRAM, YOU AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS. IF YOU DO NOT AGREE, DO NOT PARTICIPATE.

DESCRIPTION: The HuxBucks Rewards Program (the "Program") is a rewards program operated by Huxley Beverages, Inc. ("Huxley," "we," or "us"), located at 4007 Sheridan Ave S, Minneapolis, MN 55410. Through the Program, participants may earn HuxBucks points (“HuxBucks”), which are Huxley’s rewards currency, or free Huxley products by: (a) redeeming unique codes from physical scratch-off tickets distributed by Huxley in its discretion; (b) uploading qualifying purchase receipts through the Huxley app or website as described in Section 5 below (the “Receipt Upload Feature”); and/or (c) submitting a free mail-in entry as described in Section 4 below (the “Mail-In Entry”). Participants may spend accumulated HuxBucks in the Huxley online rewards shop at drinkhuxley.com (the "Rewards Shop") to claim available products.
The Program is a giveaway program. It is not a sweepstakes, contest, or game of chance. Every valid scratch-off ticket is a winner — there are no losing tickets. Every participant who redeems a valid scratch-off code, submits a qualifying Receipt Submission, or submits a valid Mail-In Entry will receive either HuxBucks points or a free product, at Huxley’s discretion. Receipt Submissions are subject to the additional terms set forth in Section 5, and Mail-In Entries are subject to the additional terms set forth in Section 4.
-
ELIGIBILITY: Only legal residents of the fifty (50) United States and the District of Columbia, excluding residents of New York and Florida, who, as of the date of entry, are 18 years of age or older are eligible to enter the Program (each such person, “you” or “participant”). Employees, officers, and directors of Huxley, and each of its parents, affiliates, subsidiaries, suppliers, distributors, retailers, sales representatives, and advertising and promotional agencies (collectively, “Released Parties”), and their immediate and extended family members (including, without limitation, spouses, domestic partners, parents, siblings, and children), and household members of each (whether related or not) are not eligible to enter into the Program or win any prize or product. Participation constitutes participant’s full and unconditional agreement to these Terms and Conditions, which are final and binding in all matters related to the Program. Huxley reserves the right to verify the eligibility of any winner.
-
HOW TO PARTICIPATE: To participate in the Program, scratch the designated area on your physical ticket to reveal your unique redemption code. Visit drinkhuxley.com and follow the on-screen instructions to enter your code. Upon successful entry of a valid code, you will be awarded either HuxBucks points or a free product, as determined by Huxley in its sole discretion, as more specifically described on the redemption webpage.
Each code may be redeemed only once. Codes that have already been redeemed, or that are illegible, altered, forged, duplicated, or otherwise tampered with, will be void and will not be honored. Codes are non-transferable and may not be sold, bartered, assigned, gifted, reproduced or otherwise transferred to any other person or account.
-
FREE MAIL-IN ENTRY (NO PURCHASE NECESSARY): To participate without making a purchase or obtaining a scratch-off ticket, hand-print your full name, complete street address (no P.O. boxes), city, state, ZIP code, date of birth, daytime telephone number, and email address on a letter and mail it, with sufficient postage, to: HuxBucks Rewards Program – Mail-In Entry, Huxley Beverages, Inc., 4007 Sheridan Ave S, Minneapolis, MN 55410. Limit one (1) Mail-In Entry per envelope and per outer mailing envelope, and limit one (1) Mail-In Entry per person during the Program period, regardless of the number of envelopes submitted. Multiple Mail-In Entries from the same person, household, or address will be disqualified, and only the first valid Mail-In Entry received from any person will be honored. Each valid Mail-In Entry received will be awarded the same number of HuxBucks points (or, at Huxley’s election, an equivalent free product) as a valid scratch-off code redemption, and will have the same chance of receiving any given award tier as any other method of participation. Mail-In Entries must be postmarked and received during the Program period to be eligible. Mail-In Entries that are illegible, incomplete, mechanically reproduced, late, lost, misdirected, or otherwise non-compliant will be void. Proof of mailing does not constitute proof of receipt. Huxley is not responsible for lost, late, illegible, postage-due, or misdirected mail.
-
RECEIPT UPLOAD FEATURE: In addition to redeeming scratch-off codes from physical scratch-off tickets, participants may earn HuxBucks or free Huxley products by uploading an image of a purchase receipt (a “Receipt Submission”) through the Huxley app or website. Receipt Submissions are processed using technology, including, without limitation, artificial intelligence and optical character recognition (collectively, “AI Technology”), to analyze the contents of the receipt. If Huxley’s AI Technology identifies a qualifying Huxley product purchase on the receipt, the participant may be awarded a number of HuxBucks points or a free product, as determined by Huxley in its sole and absolute discretion. Participants shall have no claim, right, or entitlement to HuxBucks points or products based on any Receipt Submission, and Huxley’s determination regarding each Receipt Submission is final and non-appealable.
By submitting a Receipt Submission, participant acknowledges and consents to Huxley’s collection, storage, processing, and use of all data contained on or derived from the submitted receipt, including without limitation: the retailer or store name and location; the date and time of the transaction; the total amount spent; an itemized list of all products purchased (including, without limitation, non-Huxley products); payment method type; and any other information appearing on the receipt (collectively, “Receipt Data”). Participant further acknowledges and consents to Huxley’s use of Receipt Data, in aggregated, de-identified, or individual form, for any lawful business purpose, including, without limitation: consumer behavior analysis, shopper basket analysis, market research, product development, advertising and promotional targeting, and sharing with Huxley’s affiliates, service providers, and business partners. Receipt Data may be processed using AI Technology and incorporated into databases and analytical tools operated by or on behalf of Huxley. Huxley may retain Receipt Data for as long as necessary to fulfill the purposes described herein, subject to applicable law.
By making a Receipt Submission, participant grants to Huxley a non-exclusive, royalty-free, perpetual, irrevocable, fully transferable and sub-licensable universal (including, without limitation, throughout the world and the worldwide web) license to use, reproduce, store and analyze Receipt Data for any lawful business purpose, including, without limitation, the purposes described in the paragraph above.
-
PROGRAM PERIOD: Begins at 12:01 am EST on June 1, 2026 and ends at 11:59 pm EST on May 31, 2027. All codes will expire at the end of the promotion period unless earlier terminated by Huxley, in its sole discretion.
-
HUXBUCKS POINTS: HuxBucks points are a promotional rewards currency issued by Huxley. One (1) HuxBuck equals one U.S. cent ($0.01) in redemption value when used in the Rewards Shop. HuxBucks have no cash value and may not be exchanged, redeemed, or converted to cash, check, or any other form of monetary payment under any circumstances. HuxBucks are non-transferable and may not be sold, bartered, assigned, gifted, reproduced or otherwise transferred to any other person or account. HuxBucks are not the property of the participant and do not constitute a deposit, stored value, or any form of financial instrument. Huxley reserves the right to adjust HuxBucks balances in the event of any error, fraud, or technical malfunction.
HuxBucks points expire twelve (12) months after the date the applicable code is redeemed. Expired HuxBucks will be automatically removed from the participant's account and cannot be reinstated, refunded, or extended. It is the participant's sole responsibility to use HuxBucks before expiration. Huxley is not obligated to notify participants of upcoming expirations, although Huxley may do so in its discretion.
-
RELEASE AND LIMITATION OF LIABILITY: By participating in the Program, each participant agrees to release, discharge, indemnify, defend, and hold harmless the Released Parties from and against any and all claims, demands, actions, liability, damages, losses, injuries, costs, expenses, and attorneys' fees arising out of or related to participation in the Program and/or acceptance, use, or misuse of any HuxBucks points or products received through the Program. The Released Parties are not responsible for any typographical or other errors in the printing of Program materials, administration of the Program, or in any Program-related communications. The Released Parties are not responsible for lost, late, incomplete, misdirected, invalid, or unintelligible code entries. The Released Parties are not responsible for any technical failures, including, without limitation, hardware, software, network, or phone-related issues, or any injury or damage to a person's computer, phone, or device related to or resulting from participating in the Program. In no event shall Huxley’s total liability to any participant in connection with the Program exceed the value of the HuxBucks or products at issue.
All participants understand and agree that all rights under Section 1542 of the Civil Code of California and any similar law of any state, territory, or country are hereby expressly and forever waived. Section 1542 provides: "A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH, IF KNOWN BY HIM OR HER, MUST HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY."
-
PUBLICITY: Your acceptance of HuxBucks or product in this Program constitutes permission for Huxley and its agencies to use your name, social media handles, likeness and entry for purposes of advertising and trade without further compensation, unless prohibited by law. You may be tagged by Huxley in social media posts regarding the Program and may be featured in Huxley’s and its affiliates’ social media stories, posts, and other promotional materials.
-
DISPUTES: THIS PROGRAM IS GOVERNED BY THE LAWS OF THE UNITED STATES AND THE STATE OF DELAWARE, WITHOUT RESPECT TO CONFLICT OF LAW DOCTRINES. As a condition of participating in this Program, each participant agrees that any and all disputes that cannot be resolved between the parties, and all causes of action arising out of or connected with this Program, shall be resolved individually without resort to any form of class action and exclusively before a court having jurisdiction located in Minneapolis, Minnesota. In any such dispute, under no circumstances will participant be permitted to obtain awards for, and hereby waives all rights to claim, punitive, incidental or consequential damages. Participant further waives all rights to have damages multiplied or increased.
-
ARBITRATION PROVISION: By participating in the Program, each participant agrees: (a) that any and all disputes a participant may have with, or claims a participant may have against Huxley relating to, arising out of or connected in any way with (i) the Program, and/or (ii) the determination of the scope or applicability of this agreement to arbitrate, will be resolved exclusively by final and binding arbitration administered by JAMS and conducted before a sole arbitrator selected by Huxley in accordance with the rules of JAMS; (b) this arbitration agreement is made pursuant to a transaction involving interstate commerce, and shall be governed by the Federal Arbitration Act (“FAA”), 9 U.S.C. §§ 1-16; (c) the arbitration shall be held in Minneapolis, Minnesota; (d) the arbitrator’s decision shall be controlled by the terms and conditions of these Terms and Conditions and any of the other agreements referenced herein that the applicable participant may have entered into in connection with the Program; (e) the arbitrator shall apply Delaware law consistent with the FAA and applicable statutes of limitations, and shall honor claims of privilege recognized at law; (f) there shall be no authority for any claims to be arbitrated on a class or representative basis, arbitration can decide only a participant’s and/or Huxley’s individual claims; the arbitrator may not consolidate or join the claims of other persons or parties who may be similarly situated; (g) the arbitrator shall not have the power to award punitive damages against a participant or Huxley; (h) if a participant is able to demonstrate that the costs of arbitration will be prohibitive as compared to the costs of litigation, Huxley will pay as much of a participant’s filing and hearing fees in connection with the arbitration as the arbitrator deems necessary to prevent the arbitration from being cost-prohibitive; and (i) with the exception of subpart (f) above, if any part of this arbitration provision is deemed to be invalid, unenforceable or illegal, or otherwise conflicts with the rules of JAMS, then the balance of this arbitration provision shall remain in effect and shall be construed in accordance with its terms as if the invalid, unenforceable, illegal or conflicting provision were not contained herein. If, however, subpart (f) is found to be invalid, unenforceable or illegal, then the entirety of this arbitration provision shall be null and void, and neither a participant nor Huxley shall be entitled to arbitrate their dispute. For more information on JAMS and/or the rules of JAMS, visit their website at www.jamsadr.com.
